Evernorth Holdings has moved closer to becoming a publicly traded XRP treasury vehicle after the U.S. Securities and Exchange Commission declared its registration statement effective for a proposed merger with Armada Acquisition Corp. II.

Armada II shareholders are scheduled to vote on the transaction on Sept. 30, 2026. A favorable vote and the satisfaction of customary closing conditions would put Evernorth on track for a Nasdaq listing, creating a new institutional vehicle centered on XRP holdings and on-chain finance.

A Key Step, Not a Completed Listing

The SEC action clears an important procedural barrier, but it does not complete the merger. Shareholder approval remains outstanding, along with the other standard conditions required to close a SPAC transaction.

Evernorth, the Ripple-backed treasury, has framed its strategy as an effort to expand XRP’s role in institutional financial infrastructure. Its planned public-market debut would make it one of the more visible attempts to package XRP exposure inside a corporate treasury model rather than through a conventional fund or exchange-traded product.

The development also arrives as digital-asset treasury companies continue to test whether public equities can offer investors a different route into crypto markets. Such structures can provide operational exposure and capital-market access, but their shares may trade at premiums or discounts to the assets they hold.

XRP Still Faces Technical Pressure

XRP was trading near $1.42 in recent market coverage, below the closely watched $1.50 area. The token had struggled to break out of a multi-month range even as the Evernorth announcement added a fresh institutional-adoption narrative.

The most-recent technical XRP price commentary cited support around $1.37, with a deeper zone near $1.00 to $1.03 if that level fails. On the upside, a sustained move back above $1.50 would improve the near-term chart setup advancing towards the mid-line of $1.80.

The distinction matters. Evernorth’s progress is a structural development for XRP’s institutional profile, while the token’s immediate direction will still depend on broader crypto flows, large-holder activity and demand for regulated investment products.
