Wintermute Expands Into US Securities Markets With Broker-Dealer Registration

Wintermute, one of crypto’s largest liquidity providers, has registered its New York subsidiary, Wintermute USA, as a broker-dealer with the U.S. Securities and Exchange Commission and FINRA.

The registration allows the London-based market maker to operate within the U.S. securities market framework and marks its first direct entry into traditional financial market infrastructure.

What the Broker-Dealer Registration Enables

According to Wintermute’s announcement on X, the broker-dealer registration enables the company to provide liquidity to U.S.-based securities exchanges and OTC counterparties, and to trade stocks and options from its own account.

Broker-dealers are firms registered to buy and sell securities on behalf of clients or for their own accounts. Registration with the SEC and FINRA subjects firms to additional compliance, reporting and supervisory requirements.

Wintermute said the registration could allow the firm to serve as an Authorized Participant for ETFs, a role that involves creating and redeeming ETF shares. The company did not announce any specific ETF agreements.

Wintermute stated that the registration strengthens its coverage of institutional counterparties in the U.S. and positions the firm for developments in tokenized securities markets.

Wintermute’s Expansion Into Traditional Finance

Wintermute says it facilitates more than $10 billion in average daily trading volume across more than 60 centralized and decentralized exchanges.

Wintermute has been expanding its operations into areas where digital assets intersect with traditional financial markets.

The move follows Wintermute’s earlier expansions into tokenized gold market-making and two-sided liquidity for prediction markets, and comes amid a broader tokenization boom across financial markets.

Wintermute’s move places the firm within the same regulatory environment used by traditional securities firms while maintaining its role as a major crypto market maker.

Why This Matters

Wintermute’s broker-dealer approval connects one of crypto’s largest liquidity providers with US securities infrastructure. If Wintermute ultimately participates as an Authorized Participant, the firm could become part of the infrastructure supporting ETF liquidity. The impact on spreads and pricing would depend on trading activity and competition among market makers.
